Users are solely responsible for:

Zippyreserves the right to suspend, restrict, or terminate Accounts where inaccurate information, suspicious activity, security concerns, or violations of these Terms are identified.

Users may not create Accounts on behalf of third parties unless expressly authorized by Zippy.

5. Identity verification (KYC)

Zippymay require users to complete identity verification procedures before accessing certain Services.

Verification activities may be conducted directly by Zippyor through authorized third-party service providers acting on behalf of the Company.

6. Platform services

The availability of specific Services may depend on factors including user verification status, jurisdiction, regulatory restrictions, operational considerations, and platform requirements.

Zippydoes not guarantee the continuous availability of any particular Service and reserves the right to introduce limitations where necessary for operational, security, compliance, or legal purposes.

7. User obligations

Users agree to use the Platform responsibly and in accordance with these Terms and all applicable laws and regulations.

When using the Services, users agree to:

Users must not attempt to interfere with the operation, security, integrity, or availability of the Platform.

  • terminating Accounts;
  • reporting activities to relevant authorities;
  • cooperating with regulatory, law enforcement, or judicial bodies.

Users acknowledge that violations of these Terms may result in immediate suspension or permanent termination of access to the Platform.

9. Transactions and digital assets

Users acknowledge that transactions involving Digital Assets may involve significant risks, including market volatility, technological risks, liquidity risks, cybersecurity risks, and other factors beyond the control of Zippy.

By initiating a transaction through the Platform, users represent and warrant that:

  • they are authorized to conduct the transaction;
  • they understand the risks associated with Digital Assets;
  • they have independently evaluated the suitability of the transaction;
  • they are acting on their own behalf and not for unlawful purposes.

Users are solely responsible for reviewing transaction details before confirming any transaction.

Due to the nature of blockchain technology and Digital Assets, completed transactions may be irreversible. Zippycannot guarantee that transactions can be canceled, reversed, modified, or recovered once submitted or processed.

Zippydoes not provide investment, financial, tax, legal, or trading advice. Any information available through the Platform is provided for informational purposes only and should not be interpreted as professional advice or recommendations.

The availability of specific Digital Assets may change at any time due to regulatory, operational, compliance, technical, or business considerations.

10. Fees

Certain Services provided through the Platform may be subject to fees, charges, commissions, or other costs.

Applicable fees may vary depending on:

  • the type of transaction;
  • the services utilized;
  • transaction volume;
  • supported Digital Assets;
  • operational requirements.

Users are responsible for reviewing applicable fees before using Services.

Where applicable, fees may be displayed within the Platform or otherwise communicated to users prior to the completion of a transaction.

Zippyreserves the right to modify fees, introduce new fees, or discontinue existing fee structures at any time, subject to applicable legal and regulatory requirements.

Continued use of the Services following the implementation of updated fees may constitute acceptance of such changes.

Users remain responsible for any taxes, duties, levies, or governmental charges associated with their use of the Services.

11. Suspension and termination

Zippyreserves the right to suspend, restrict, limit, or terminate access to the Platform or Services at any time where reasonably necessary for operational, security, compliance, legal, or business purposes.

Circumstances that may result in suspension or termination include:

  • suspected fraudulent activity;

Users may request Account closure by contacting Zippythrough available support channels, subject to the completion of any outstanding obligations, verification requirements, or regulatory procedures.

12. Risk disclosure

Users acknowledge and accept that the use of Digital Assets and related services involves substantial risks.

Digital Asset markets are highly volatile and may experience significant fluctuations in value over short periods of time. Past performance is not indicative of future results, and users may experience partial or total loss of value associated with Digital Assets.

Risks associated with Digital Assets may include:

  • market volatility;
  • liquidity risks;
  • technological failures;
  • cybersecurity incidents;
  • blockchain network disruptions;
  • regulatory changes;
  • operational interruptions;
  • third-party service failures.

Zippydoes not guarantee the value, performance, availability, or future market conditions of any Digital Asset.

Users are solely responsible for evaluating the risks associated with Digital Assets and determining whether participation in Digital Asset transactions is appropriate for their individual circumstances.

13. Intellectual property

All intellectual property rights relating to the Platform, Services, website content, software, design elements, trademarks, logos, graphics, text, functionality, and other materials are owned by or licensed to Zippyunless otherwise stated.

Users are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform in accordance with these Terms.

Users may not:

  • copy or reproduce Platform content;
  • modify or create derivative works;
  • distribute or publish Platform materials;
  • reverse engineer software or systems;
  • remove proprietary notices;
  • use trademarks or branding without authorization.

Nothing contained in these Terms transfers ownership of intellectual property rights from Zippyto users.

14. Limitation of liability

To the fullest extent permitted by applicable law, Zippyshall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of the Platform or Services.

This limitation may include damages relating to:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunities;
  • loss of data;
  • business interruption;
  • loss of Digital Assets;
  • system failures;
  • third-party actions.

Zippydoes not guarantee that:

  • Services will be uninterrupted;
  • Services will always be available;
  • Services will be error-free;
  • all defects will be corrected;
  • the Platform will be free from security threats.

Where liability cannot be excluded under applicable law, Zippy's liability shall be limited to the maximum extent permitted by law.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable legislation.

15. Indemnification

Users agree to indemnify, defend, and hold harmless Zippy, its directors, officers, employees, affiliates, contractors, and service providers from and against any claims, liabilities, losses, damages, costs, expenses, or demands arising out of or related to:

  • violations of these Terms;
  • misuse of the Platform or Services;
  • violations of applicable laws or regulations;
  • infringement of third-party rights;
  • fraudulent, negligent, or unlawful conduct by the user.

Zippyreserves the right to assume exclusive control of any matter subject to indemnification, and users agree to cooperate fully in the defense of such matters.

By using the Services, users acknowledge that personal information may be processed in accordance with the Privacy Policy and applicable legal requirements.

Users are encouraged to review the Privacy Policy carefully before using the Services.

17. Governing law and disputes

These Terms shall be governed by and interpreted in accordance with the laws of the Czech Republic, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services shall be subject to the jurisdiction of the competent courts of the Czech Republic, unless otherwise required by applicable law.

Continued use of the Platform or Services following the publication of revised Terms may constitute acceptance of such changes.
